han de controlar la transpar\u00e8ncia de les cl\u00e0usules\u00a0IRPH<\/h3>\n<div class=\"traductor-textarea form-group\">\n<div class=\"textarea-desti col-xs-12 col-sm-6\">\n<div class=\"form-control second-textarea\">\n<p>Els tribunals espanyols hauran d&#8217;assegurar-se del car\u00e0cter clar i comprensible de les cl\u00e0usules de contractes de pr\u00e9stec hipotecari que estableixin l&#8217;aplicaci\u00f3 d&#8217;un tipus d&#8217;inter\u00e8s variable basat en l&#8217;\u00edndex de refer\u00e8ncia de les caixes d&#8217;estalvis (les conegudes cl\u00e0usules\u00a0IRPH).\u00a0 Aix\u00ed ho ha establert el Tribunal de Just\u00edcia de la Uni\u00f3 Europea (TJUE), en una sent\u00e8ncia que marcar\u00e0 el cam\u00ed d&#8217;una ona de reclamacions contra la banca.<\/p>\n<p>Com detalla el TJUE, si el jutge espanyol arrib\u00e9s a la conclusi\u00f3 que aquestes cl\u00e0usules s\u00f3n abusives, podran substituir-les per un \u00edndex legal aplicable de manera suplet\u00f2ria per a protegir els consumidors en q\u00fcesti\u00f3 de les conseq\u00fc\u00e8ncies especialment perjudicials que podrien derivar-se de l&#8217;anul\u00b7laci\u00f3 del contracte de pr\u00e9stec.<\/p>\n<\/div>\n<\/div>\n<\/div>\n<h3>L&#8217;\u00edndex de refer\u00e8ncia<\/h3>\n<p>En la sent\u00e8ncia (G\u00f3mez del Moral\u00a0Guasch\u00a0(C-125\/18), dictada el 3 de mar\u00e7 de 2020) el Tribunal de Just\u00edcia, en la seva composici\u00f3 de Gran Sala, ha declarat, que la cl\u00e0usula d&#8217;un contracte de pr\u00e9stec hipotecari celebrat entre un consumidor i un professional, en virtut de la qual el tipus d&#8217;inter\u00e8s que pagar\u00e0 el consumidor varia en funci\u00f3 de l&#8217;\u00edndex de refer\u00e8ncia basat en els pr\u00e9stecs hipotecaris de les caixes d&#8217;estalvis (en endavant, \u00ab\u00edndex de refer\u00e8ncia\u00bb), \u00edndex que est\u00e0 previst pel Dret espanyol, est\u00e0 compr\u00e8s en l&#8217;\u00e0mbit d&#8217;aplicaci\u00f3 de la Directiva sobre cl\u00e0usules abusives.<\/p>\n<p>Aix\u00f2 s&#8217;explica perqu\u00e8 aquesta cl\u00e0usula no reflexa disposicions legals o reglament\u00e0ries de car\u00e0cter imperatiu, a l&#8217;efecte de l&#8217;article 1, apartat 2, de l&#8217;esmentada Directiva.<\/p>\n<p>El Tribunal de Just\u00edcia tamb\u00e9 ha precisat que els tribunals espanyols hauran de comprovar que les cl\u00e0usules d&#8217;aquestes caracter\u00edstiques siguin de car\u00e0cter clar i comprensible, amb independ\u00e8ncia de si el Dret espanyol ha fet \u00fas de la facultat que s&#8217;atorga als Estats membres en l&#8217;article 4, apartat 2, de la Directiva per a establir que l&#8217;apreciaci\u00f3 del car\u00e0cter abusiu de les cl\u00e0usules no es refereixi, entre altres, a la definici\u00f3 de l&#8217;objecte principal del contracte. Si aquests tribunals arribessin a la conclusi\u00f3 que aquestes cl\u00e0usules s\u00f3n abusives, podran substituir-les per un \u00edndex legal aplicable de manera suplet\u00f2ria, per a protegir els consumidors en q\u00fcesti\u00f3 de les conseq\u00fc\u00e8ncies especialment perjudicials que podrien derivar-se de l&#8217;anul\u00b7laci\u00f3 del contracte de pr\u00e9stec.<\/p>\n<div class=\"track-344 track_pos\">\n<div id=\"sc_intxt_container\">\n<div><\/div>\n<\/div>\n<\/div>\n<\/div><\/section><\/div>\n<style type=\"text\/css\" data-created_by=\"avia_inline_auto\" id=\"style-css-av-9ojyv-01ab8e3dea6703324971d9d5d8d2cacb\">\n.flex_column.av-9ojyv-01ab8e3dea6703324971d9d5d8d2cacb{\nborder-radius:0px 0px 0px 0px;\npadding:0px 0px 0px 0px;\n}\n<\/style>\n<div  class='flex_column av-9ojyv-01ab8e3dea6703324971d9d5d8d2cacb av_one_half  avia-builder-el-6  el_after_av_one_half  el_before_av_one_full  flex_column_div av-zero-column-padding  column-top-margin'     ><section  class='av_textblock_section av-kja5a5k0-43119983f8ea2d97fdde3b3da59d8ad6 '   itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock'  itemprop=\"text\" ><div class=\"track-344 track_pos\">\n<div id=\"sc_intxt_container\">\n<div>\n<h3 id=\"sc_ava_companion\" class=\"sc_intxt_hided\">El cas en q\u00fcesti\u00f3<\/h3>\n<\/div>\n<\/div>\n<\/div>\n<p>La present sent\u00e8ncia se situa en el context d&#8217;una petici\u00f3 de decisi\u00f3 prejudicial remesa pel Jutjat de Primera Inst\u00e0ncia n\u00fam. 38 de Barcelona. Sr. Marc G\u00f3mez del Moral\u00a0Guasch\u00a0va presentar demanda davant aquest \u00f2rgan en relaci\u00f3 amb el car\u00e0cter presumptament abusiu d&#8217;una cl\u00e0usula referida al tipus d&#8217;inter\u00e8s remuneratori variable que figurava en el contracte de pr\u00e9stec hipotecari que havia celebrat amb l&#8217;entitat banc\u00e0ria Bankia, S. a. En virtut d&#8217;aquesta cl\u00e0usula el tipus d&#8217;inter\u00e8s que pagar\u00e0 el consumidor varia en funci\u00f3 de l&#8217;\u00edndex de refer\u00e8ncia. Aquest \u00edndex venia establert per la normativa nacional i podia ser aplicat per les entitats de cr\u00e8dit als pr\u00e9stecs hipotecaris. No obstant aix\u00f2, el Jutjat assenyala que, com a refer\u00e8ncia per a la revisi\u00f3 dels interessos variables, aquest \u00edndex era menys avantatj\u00f3s que el tipus mitj\u00e0 del mercat interbancari europeu (\u00abeur\u00edbor\u00bb), que, segons indica, s&#8217;utilitza en el 90% dels pr\u00e9stecs hipotecaris subscrits a Espanya, situaci\u00f3 que representa un cost addicional d&#8217;entre 18 000 i 21 000 euros per pr\u00e9stec.<\/p>\n<p>En primer lloc, el Tribunal de Just\u00edcia ha recordat que les cl\u00e0usules que reflecteixin disposicions legals o reglament\u00e0ries imperatives estaran excloses de l&#8217;\u00e0mbit d&#8217;aplicaci\u00f3 de la Directiva 93\/13\/CEE del Consell, de 5 d&#8217;abril de 1993, sobre les cl\u00e0usules abusives en els contractes subscrits amb consumidors (DO 1993, L 95, p. 29). 2 Article 1, apartat 2, de la Directiva.<\/p>\n<p>No obstant aix\u00f2, ha observat que, sense perjudici de la comprovaci\u00f3 que realitzi el Jutjat, la normativa nacional aplicable al present assumpte no obligava a utilitzar en els pr\u00e9stecs amb tipus d&#8217;inter\u00e8s variable un \u00edndex de refer\u00e8ncia oficial, sin\u00f3 que es limitava a fixar els requisits que havien de complir els \u00ab\u00edndexs o tipus d&#8217;inter\u00e8s de refer\u00e8ncia\u00bb perqu\u00e8 les entitats de cr\u00e8dit poguessin utilitzar-los. Per conseg\u00fcent, el Tribunal de Just\u00edcia ha arribat a la conclusi\u00f3 que s\u00ed que estan compreses en l&#8217;\u00e0mbit d&#8217;aplicaci\u00f3 de la Directiva les cl\u00e0usules de contractes de pr\u00e9stec hipotecari que estipulin que el tipus d&#8217;inter\u00e8s aplicable al pr\u00e9stec es basar\u00e0 en un dels \u00edndexs de refer\u00e8ncia oficials establerts per la normativa nacional i que les entitats de cr\u00e8dit poden aplicar als pr\u00e9stecs hipotecaris, quan aquesta normativa no estableixi ni l&#8217;aplicaci\u00f3 imperativa de l&#8217;\u00edndex en q\u00fcesti\u00f3 amb independ\u00e8ncia de l&#8217;elecci\u00f3 de les parts del contracte ni la seva aplicaci\u00f3 suplet\u00f2ria en el cas que les parts no hagin pactat una altra cosa.<\/p>\n<p>En segon lloc, el Tribunal de Just\u00edcia ha abordat la q\u00fcesti\u00f3 de les facultats dels jutges nacionals a l&#8217;hora de comprovar la transpar\u00e8ncia d&#8217;una cl\u00e0usula que es refereixi a l&#8217;objecte principal del contracte. L&#8217;article 4, apartat 2, de la Directiva estableix que l&#8217;apreciaci\u00f3 del car\u00e0cter abusiu de les cl\u00e0usules no es referir\u00e0, entre altres, a la definici\u00f3 de l&#8217;objecte principal del contracte, sempre que aquestes cl\u00e0usules es redactin de manera clara i comprensible. 3 El Jutjat es plantejava la possibilitat que el tribunal nacional s&#8217;assegur\u00e9s, fins i tot si aquesta disposici\u00f3 de la Directiva no havia estat transposada al Dret nacional, que cl\u00e0usules com la controvertida compleixen amb el requisit de la transpar\u00e8ncia que preceptua la pr\u00f2pia Directiva. El Tribunal de Just\u00edcia ha destacat a aquest respecte que les cl\u00e0usules contractuals deuen sempre complir el requisit de la redacci\u00f3 clara i comprensible.<\/p>\n<p>Segons el Tribunal de Just\u00edcia, tal requisit s&#8217;aplica fins i tot quan les cl\u00e0usules estan compreses en l&#8217;\u00e0mbit d&#8217;aplicaci\u00f3 de la citada disposici\u00f3 i quan l&#8217;Estat membre en q\u00fcesti\u00f3 (Espanya en aquest cas) no hagi adaptat el seu ordenament jur\u00eddic a la disposici\u00f3. D&#8217;aix\u00f2 es dedueix que els tribunals dels Estats membres deuen sempre assegurar-se que les cl\u00e0usules que es refereixin a l&#8217;objecte principal dels contractes s\u00f3n clares i comprensibles.<\/p>\n<p>En tercer lloc, el Tribunal de Just\u00edcia declara que, per a complir amb el requisit de la transpar\u00e8ncia que imposa la Directiva, 5 les cl\u00e0usules que fixin en els contractes de pr\u00e9stec hipotecari un tipus d&#8217;inter\u00e8s variable no sols hauran de ser comprensibles en un pla formal i gramatical, sin\u00f3 tamb\u00e9 permetre que el consumidor mitj\u00e0, normalment informat i raonablement atent i perspica\u00e7, estigui en condicions de comprendre el funcionament concret de la manera de c\u00e0lcul del referit tipus d&#8217;inter\u00e8s i de valorar aix\u00ed, basant-se en criteris precisos i comprensibles, les conseq\u00fc\u00e8ncies econ\u00f2miques, potencialment significatives, d&#8217;aquestes cl\u00e0usules per a les seves obligacions financeres. Constitueixen elements especialment pertinents referent a aix\u00f2, d&#8217;una banda, la circumst\u00e0ncia que els elements principals relatius al c\u00e0lcul de l&#8217;esmentat tipus d&#8217;inter\u00e8s resultin f\u00e0cilment assequibles a qualsevol persona que tingui intenci\u00f3 de contractar un pr\u00e9stec hipotecari, donada la publicaci\u00f3 de la manera de c\u00e0lcul d&#8217;aquest tipus d&#8217;inter\u00e8s en el butllet\u00ed oficial de l&#8217;Estat membre de qu\u00e8 es tracti, i, d&#8217;altra banda, el subministrament d&#8217;informaci\u00f3 per de el professional al consumidor sobre l&#8217;evoluci\u00f3 hist\u00f2rica de l&#8217;\u00edndex en qu\u00e8 es basa el c\u00e0lcul d&#8217;aquest mateix tipus d&#8217;inter\u00e8s.<\/p>\n<p>En quart lloc, pel que fa a les facultats dels jutges nacionals en declarar el possible car\u00e0cter abusiu d&#8217;una cl\u00e0usula contractual a l&#8217;efecte de la Directiva, el Tribunal de Just\u00edcia ha recordat que la Directiva 6 no s&#8217;oposa al fet que, en aplicaci\u00f3 de principis del Dret dels contractes, els jutges nacionals suprimeixin les cl\u00e0usules abusives dels contractes celebrats entre professionals i consumidors i les substitueixin per una disposici\u00f3 suplet\u00f2ria de Dret nacional en aquells casos en qu\u00e8 la declaraci\u00f3 de nul\u00b7litat de les cl\u00e0usules abusives obligaria el jutge a anul\u00b7lar el contracte \u00edntegrament, quedant exposats aix\u00ed els consumidors a conseq\u00fc\u00e8ncies especialment perjudicials, ja que tal anul\u00b7laci\u00f3 del contracte podria en principi tenir l&#8217;efecte de fer immediatament exigible el pagament de l&#8217;import del pr\u00e9stec pendent de devoluci\u00f3, en una quantia que arribi fins i tot a excedir de la capacitat econ\u00f2mica del consumidor en q\u00fcesti\u00f3, i, per aquesta ra\u00f3, penalitzaria a aquest m\u00e9s que al prestador, a qui, com a conseq\u00fc\u00e8ncia, no es dissuadiria d&#8217;inserir cl\u00e0usules d&#8217;aquest tipus en els contractes que ofereixi.<\/p>\n<p>En el present assumpte, despr\u00e9s de la celebraci\u00f3 del contracte controvertit de pr\u00e9stec el legislador espanyol ha introdu\u00eft un \u00edndex \u00absubstitutiu\u00bb que, sense perjudici de les comprovacions oportunes que realitzi el Jutge remitent, t\u00e9 car\u00e0cter supletori. Sent aix\u00f2 aix\u00ed, el Tribunal de Just\u00edcia ha considerat que la Directiva 7 no s&#8217;oposa al fet que, en cas de declaraci\u00f3 de nul\u00b7litat d&#8217;una cl\u00e0usula contractual abusiva que fixa un \u00edndex de refer\u00e8ncia per al c\u00e0lcul dels interessos variables d&#8217;un pr\u00e9stec, el jutge nacional el substitueixi per un \u00edndex legal aplicable mancant acord en contra de les parts del contracte, sempre que el contracte de pr\u00e9stec hipotecari no pogu\u00e9s subsistir despr\u00e9s de la supressi\u00f3 de la cl\u00e0usula abusiva i que l&#8217;anul\u00b7laci\u00f3 del contracte \u00edntegrament deix\u00e9s al consumidor exposat a conseq\u00fc\u00e8ncies especialment perjudicials.<\/p>\n<\/div><\/section><\/div>\n<style
